Terms of Service

Introduction
These Terms of Service ("Terms") govern your use of the software-as-a-service platform and related services provided by Easy OIC LLC, doing business as RepRover ("RepRover," "we," "our," "us"). By signing an Order Form, registering for a trial, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
1.1 "Agreement": These Terms of Service, together with any Order Form executed between RepRover and the Customer.
1.2 "Customer": The individual or entity that has executed an Order Form, registered for a trial, or otherwise uses the Service.
1.3 "Order Form": The document or online process through which the Customer orders the Service, specifying fees, term, and scope.
1.4 "Party" or "Parties": RepRover and the Customer, individually or collectively.
1.5 "Platform Accounts": Customer-owned accounts on Google Business Profile, Facebook, Instagram, or YouTube connected to the Service.
1.6 "Service": RepRover's proprietary SaaS platform and related features, including monitoring, managing, and assisting with replies to comments and reviews on Google Business Profile, Facebook, Instagram, and YouTube.
1.7 "RepRover Software": The proprietary software, technology, and documentation provided by RepRover.
1.8 "Terms": These Terms of Service as updated from time to time.
2. Service
2.1 RepRover provides SaaS tools to manage reviews and comments on Google Business Profile, Facebook, Instagram, and YouTube.
2.2 RepRover may update or modify the Service at its discretion. Notice of material changes will be posted on the RepRover website.
2.3 The Service does not include telecommunications, internet connectivity, or hardware, which the Customer must obtain separately.
2.4 The Customer agrees not to use the Service for unlawful purposes and to comply with all applicable laws and the rules of each integrated platform.
2.5 The Customer is solely responsible for compliance with the policies of Google, Meta (Facebook/Instagram), and YouTube.
3. Registration, Trials, and Billing
3.1 The Customer must register and connect valid Platform Accounts before using the Service.
3.2 A standard free trial begins on the date of registration and lasts for 14 days. If the Customer applies a coupon code or other promotional extension, the trial may last up to 30 days.
3.3 On the 14th day of the trial (or the last day of any extended trial), RepRover will initiate billing through Stripe, our third-party payment processor.
3.4 If the Customer fails to provide valid payment information to Stripe or if payment authorization is denied, access to the Service may be suspended or terminated until payment details are updated and charges are successfully processed.
3.5 All payment processing is handled by Stripe. RepRover does not store complete payment card details. The Customer agrees to Stripe's Privacy Policy and Terms of Service.
4. Rights of Use and Proprietary Rights
4.1 RepRover grants the Customer a limited, non-exclusive, non-transferable right to use the Service for the term of the Agreement.
4.2 The Customer may not copy, modify, reverse engineer, resell, or sublicense the Service.
4.3 All intellectual property rights in the Service remain with RepRover. Customer-provided materials remain the Customer's property.
4.4 Suggestions or feedback submitted by the Customer may be used by RepRover without restriction.
4.5 Use of third-party platforms (Google, Facebook, Instagram, YouTube) is subject to their respective terms and policies.
5. Fees and Payment
5.1 Fees are specified in the Order Form or online registration process.
5.2 Fees are invoiced monthly via Stripe and are due immediately upon billing.
5.3 Payments must be successfully authorized through Stripe. If a charge fails, the Customer must update payment details promptly.
5.4 RepRover may adjust fees with 30 days' notice. The Customer may terminate the Agreement if it does not agree to the changes.
6. Warranties
6.1 RepRover will use reasonable efforts to maintain Service availability.
6.2 RepRover does not guarantee uninterrupted or error-free operation.
6.3 Except as expressly stated, the Service is provided "as is" without warranties of any kind, including merchantability or fitness for a particular purpose.
7. Indemnification and Limitation of Liability
7.1 RepRover will indemnify the Customer against claims that the Service infringes third-party intellectual property rights.
7.2 The Customer will indemnify RepRover against claims arising from the Customer's use of the Service, including violations of platform rules or laws.
7.3 Neither Party is liable for indirect, incidental, or consequential damages.
7.4 Each Party's liability is limited to fees paid by the Customer in the 12 months prior to the claim.
8. Confidentiality
8.1 Each Party must protect the other Party's confidential information.
8.2 RepRover may use aggregated or de-identified Customer data for analytics and service improvements.
9. Term and Termination
9.1 The term of the Agreement is defined in the Order Form or Customer registration.
9.2 Either Party may terminate for convenience with 30 days' written notice.
9.3 RepRover may suspend or terminate access immediately if the Customer breaches these Terms or fails to provide valid payment details.
9.4 Upon termination, the Customer must cease use of the Service and delete any materials provided by RepRover.
10. Data Processing
10.1 RepRover processes Customer data as described in the Privacy Policy and in compliance with applicable laws.
10.2 The Customer is responsible for ensuring that its use of the Service complies with data protection laws, including any required consents for processing reviews or comments.
11. Applicable Law and Dispute Resolution
11.1 These Terms are governed by the laws of California, USA.
11.2 Disputes will be resolved by binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association.
12. General Provisions
12.1 RepRover may make changes to its systems, features, or subcontractors.
12.2 RepRover may use the Customer's name and logo for marketing unless the Customer objects in writing.
12.3 Neither Party may assign this Agreement without the other Party's consent, except in connection with a merger or acquisition.
12.4 No waiver of any provision is valid unless in writing.
12.5 Neither Party is liable for delays or failures caused by events beyond reasonable control.
12.6 This Agreement constitutes the entire agreement between the Parties regarding the Service.
12.7 If any provision is found unenforceable, it will be modified to the minimum extent necessary to remain enforceable.
12.8 RepRover may amend these Terms with 30 days' notice. Continued use of the Service constitutes acceptance.
